Note 1: As of September 30, 2024, General Electric Company, operating as GE Aerospace (“GE Aerospace”), beneficially owned 13,281,302, or approximately 2.9%, of the shares of common stock (“Common Stock”) outstanding of GE HealthCare Technologies Inc. (the “Company”). Pursuant to a Stockholder and Registration Rights Agreement, dated as of January 2, 2023 (the “Stockholder and Registration Rights Agreement”), between GE Aerospace and the Company, GE Aerospace granted to the Company a proxy to vote the shares of Common Stock owned by GE Aerospace in proportion to the votes cast by the Company’s other stockholders.
Note 2: The denominator for this calculation is based on 456,662,253 shares of Common Stock outstanding as of July 24, 2024, as reported in the Company’s Form 10-Q filed with the U.S. Securities and Exchange Commission on July 31, 2024.
